I have posted this before.

From the USAC rulebook:

CODE OF BY-LAWS OF THE UNITED STATES AUTO CLUB

ARTICLE 1
Identification
Section 1.01. Name. The name of the Corporation is United States Auto Club, Inc. (the “Corporation”).

ARTICLE 2
Membership
Section 2.01. Classes of Members. The Corporation’s members shall be divided into the following classes.

Clause (a). Voting Members. The voting members of the Board of Directors of the Corporation shall be the sole voting members of the Corporation and shall be called “Board Members.” ******** as a Director of the Corporation with voting rights shall qualify such person as a voting member of the Corporation for a term co-extensive with the term as Director. Upon the expiration of the member’s term as Director and the ******** of a successor Director, the voting membership shall expire.

Clause (b). Non-voting Members. The Corporation may also have other classes of members, such names to be determined by the Board of Directors, none of whom shall have the right to vote.

So you are either a "Voting Member" (Board Members ONLY) who can vote on other board members or you are a "Non-voting Member" (everyone else) who has no voting rights. The Board therefore lacks accountability to anyone outside of itself!

I know that the Board formerly consisted of associates of Tony Hulman and some were quite advanced in age. In recent years I know Jeff Stoops served as a member as well as Tony George.

The USAC rulebook used to list the Board members and their outside occupations but that is not contained on the website.
